Member Agreement
MODUS is a fine art gallery located at 415 Sherman Avenue in the heart of Coeur d’Alene,
Idaho. MODUS FINE ART (MODUS) is the operating name of this space and is owned by the five
partners of CdA Art Collective, LLC. Each of the partners are professional artists and members
of this collective. MODUS is responsible for selecting artists, curating exhibitions, marketing
(web, print and social media), scheduling events and staff and managing the business
(maintaining the space, honoring the lease agreement with the building owners, collecting
sales, and paying artists and taxes).
We believe that the strength of this cooperative comes from the collective experience,
creativity, and professional insight of all participating members. Artists are encouraged to
actively contribute to the direction of the gallery by sharing their industry knowledge, artistic
vision, and recommendations regarding programming, exhibitions and prospective members.
While MODUS holds final decision‐making responsibility, we value and seek meaningful input
from all members, and we view this cooperative as a collaborative, community‐driven venture
shaped by the voices of the artists who participate in it.
This agreement outlines the expectations, responsibilities, and benefits of membership in
MODUS. Membership is intended to create a collaborative environment where talented,
committed artists support one another and share space, effort, vision and success while
maintaining a professional gallery experience for visitors and collectors.
1. Membership Term
Membership is for a one-year term beginning on the date this agreement is signed. Members
commit to active participation in MODUS for the full term. Renewal may be offered at the
discretion of MODUS.
2. Membership Dues
Monthly dues help support rent, marketing, and operations. Members agree to pay $150 per
month. Members agree to pay the first and last month’s dues at the time this agreement is
signed. Membership dues are non-refundable.
3. Member Time Commitment
Members agree to actively contribute to the success of MODUS by serving a minimum of one
full day or two half-days per month tending the gallery. Members are responsible for covering
their shift in the event they cannot make their shift. Shifts may be exchanged with other
members as long as the gallery schedule is properly updated. Members are expected to be
punctual and professional and to represent the artwork of all Members with equal enthusiasm
to interested parties.
Members are expected to participate with other gallery staff with the installation and removal
of their own exhibit, including patching and painting, as necessary.
Members agree to assist as much as possible with other gallery activities such as art walks and
other events hosted by MODUS. Sign-up sheets for various tasks will be made available for the
Members’ selections. We want everyone to participate within their area of interest and
strength as much as possible.
Members must attend (in person or virtual) at least three quarterly meetings in a calendar year.
4. Artwork Standards
To ensure a consistent and professional gallery experience, all artwork displayed in MODUS
must meet professional presentation standards including framing, wiring and hanging hardware
as applicable. With each art piece, Members must complete a gallery inventory sheet that
includes all pertinent information for uniform labels provided by MODUS. It is the Member’s
responsibility to ensure artwork is properly logged in and out when bringing in or removing
work from MODUS and to deliver artwork for shows by the deadlines set by the curators.
MODUS reserves the right to curate exhibitions, rotate artwork and decline work for any reason
at the discretion of MODUS.
Artwork displayed must be original in thought and creation and meet reasonable standards for
public presentation. While artwork or show concepts that push the boundaries are welcome,
the liability, integrity and reputation of MODUS is paramount. Reasonable attempts to
accommodate will be made at the discretion of MODUS.
5. Sales and Commission
Member’s artwork sold through MODUS is subject to a 20% gallery commission. This includes
the sale of artwork or related products that occur within MODUS premises or as a result of any
cooperative effort, including exhibitions, marketing or promotional activities, printed or digital
materials, email outreach, social media campaigns, public relations efforts, and organized
events. MODUS will process all sales, collect applicable taxes, and submit payments to artists
within 45 days of the sale. Members may not privately sell artwork that is displayed or stored
in MODUS. Doing so is grounds for termination of Membership.
6. Gallery Representation
Members receive consistent wall representation in MODUS, limited storage space for rotating
artwork and one featured exhibition each year (shared with another member). Members are
encouraged to coordinate pairing with another member for their yearly exhibition. For fairness
and equity, exhibition scheduling is determined by lottery. Show dates may be exchanged upon
mutual consent with another member and with approval of MODUS. Shows and art
presentation in other areas of MODUS will be cooperatively curated by the artist and gallery
curators. MODUS reserves the right to make final decisions regarding all art placement.
7. Marketing
Within the MODUS website, Members will be given a page that includes the artist’s bio,
statement, selected works, links and contact information. Images for the page are to be
provided by the Member.
By signing this agreement, Members grant to MODUS the right to use images of the artist, their
work and their events and the artist’s statement and bio for marketing purposes.
Members agree to participate in marketing efforts by sharing gallery promotions through their
own social media and professional networks.
8. Use of Gallery Space
Members may request use of MODUS, free of charge, for art talks, workshops, demonstrations
or other creative events as approved by MODUS and as the calendar allows. These events must
be free and open to the public. If Members wish to use MODUS for events that require
admission fees or are not open to the public, the events must be coordinated with MODUS
leadership and a commission to MODUS will apply. Members are responsible for setup and
cleanup up for their events. Priority is given to exhibitions and gallery programming.
9. Liability and Insurance
MODUS will exercise reasonable care in handling artwork. MODUS will maintain property
contents and general liability insurance but it is recommended that the artists augment these
policies with their own policies, at their discretion. MODUS is not liable for loss or damage
except in cases of proven negligence.
10. Code of Conduct
Members agree to abide by the MODUS code of conduct, which is incorporated by reference
into this agreement. Failure to follow the code of conduct may result in termination of
membership at the discretion of MODUS
11. Termination of Membership & Exit Policy
Membership may be terminated for failure to pay dues, failure to meet participation
requirements, violation of the code of conduct or behavior that harms MODUS or its members.
Termination decisions are made by MODUS. Members may terminate their membership early
with a written 30-day notice but are responsible for the remainder of monthly fees until their
spot is filled. Members may help find their own replacements but prospective members must
submit an application and be approved by MODUS. Members who leave the organization must
remove their artwork within 30 days.
12. Agreement
By signing below, the member acknowledges that they understand and accept the
responsibilities and benefits of gallery membership.
